Honorary Director Detailed Specifications
Process
- Any current ASA Director may nominate a qualified person to be an Honorary Board Member.
- This nomination may be approved by majority of the ASA Board of Directors at next scheduled Board Meeting that has a quorum.
- The vote may be held before the nominated person leaves the Board but the term as an Honorary Board Member does not begin to apply until the person leaves the Board.
Qualifications
- Must have served as a director for a minimum of three terms.
- Applies to both elected and appointed directors.
- Must complete a non-disclosure agreement (NDA) for the protection of the Association’s and its members’ confidences.
Restrictions
- This is an honorary title that provides none of the responsibilities nor any of the privileges of an ASA Director (including no right to vote on any matter in front of the ASA Board of Directors), except for the following privileges:
- The Honorary Board Member may attend ASA Board meetings at his/her own expense on a space available basis. It is up to the Honorary Board Member to notify the President of the intent to attend a meeting in order to make sure that there is available space.
- The Honorary Board Member may represent himself/herself as an “Honorary Board Member” of the Association.
- An Honorary Board Member must accept this title (by signing the NDA) to be subject to the restrictions.
- The Honorary Board Member may not seek election nor appointment as an ASA Director.
- The Honorary Board Member may not state a relationship with the Association except as described above.
- Applies for a term of the lifetime of the Honorary Board Member, unless earlier removed by the Board.
